This Vendor Code of Conduct (“Code“) applies to all vendors, their employees, agents, and subcontractors (collectively “Vendors“) conducting business with or on behalf of Mako Networks, Inc., and its subsidiaries (collectively “Mako“). When differences arise between standards and legal requirements, the stricter standard shall apply in compliance with applicable law. Mako operates with the highest standards of integrity and ethics and requires its Vendors to embrace this commitment through compliance with this Code.
Compliance with the Code
Vendors must promptly inform Mako of any situation that may cause Code violations. Mako reserves the right to audit Vendors and inspect their facilities to confirm compliance. Mako may immediately remove any Vendor personnel who violate this Code or any Mako policy. This Code supplements all other contractual obligations between the Vendor and Mako.
Legal and Regulatory Compliance
Vendors must:
- Comply with all trade controls and export, re-export, and import laws.
- Follow all antitrust and fair competition laws.
- Not participate in boycotts unsanctioned by U.S. law.
- Not engage in bribery or corruption. Vendors must comply with the U.S. Foreign Corrupt Practices Act and all applicable anti-corruption laws. Vendors must not offer anything of value to government officials or private individuals to influence decisions or promote Mako’s business interests.
Business Practices and Ethics
Vendors must:
- Maintain accurate business records and comply with all retention requirements.
- Not speak to the media or publicly about Mako without written authorization.
- Not offer gifts to Mako employees that could constitute bribes or create conflicts of interest.
- Avoid actual or apparent conflicts of interest, including direct dealings with family members employed by Mako.
Labor and Human Rights
Vendors must:
- Maintain workplaces free from harassment and unlawful discrimination.
- Use only voluntary labor and prohibit human trafficking.
- Comply with applicable employment laws and regulations.
- Prohibit physical discipline or abuse.
- Maintain required employee records.
Health and Safety
Vendors must:
- Provide safe working environments that comply with all safety laws and proactively address workplace hazards.
- Prohibit illegal drugs on Mako’s properties and Mako’s customers’ properties.
Environmental Protection
Vendors must:
- Comply with environmental laws regarding hazardous materials, emissions, and waste.
- Implement waste reduction measures.
- Maintain required environmental permits.
- Properly handle and dispose of hazardous materials.
- Follow substance restriction laws.
Asset and Intellectual Property Protection
Vendors must:
- Respect intellectual property rights.
- Use licensed software and content properly.
- Protect Mako’s physical and intellectual assets.
- Maintain confidentiality and security.
- Not use Mako technology for inappropriate purposes.

Mako prohibits retaliation against anyone reporting potential violations in good faith. Mako reserves the right to amend this Code at any time.
